
Article I - Name
Section A
The name of this organization shall be Christian College Librarians, Incorporated. [November 28, 2001]
Section B
As used here and elsewhere in the Governance/By-Laws of the Christian College Librarians, the phrase Christian College (or Christian Colleges ) shall refer to postsecondary educational institutions affiliated with the Churches of Christ. [ May 28,1993 ]
Article II - Purpose
Section A
The purpose of the organization shall be:
(1) to engage in cooperative projects, such as Restoration Serials Index , that will enhance the services
offered by Christian college libraries;
(2) to facilitate communication and resource sharing among Christian college libraries.
(3) exclusively for charitable, educational, and religious purposes within the meaning of section 501 (c)
(3) of the Internal Revenue Code. [ August 10, 1999 ]
Section B
This organization shall at all times cooperate with the administrations of the Christian colleges.
Section C - Legi sla tive or Political Activities
No substantial part of the activities of the organization shall be the carrying on of propaganda or otherwise attempting to influence legi sla tion and the organization shall not participate in or intervene (including the publication or distribution of statements) any political campaign on behalf of any candidate for public office. Section D - Operational Limitations
Not withstanding any other provision of these articles, the organization shall not carry on any other activities not permitted to be carried on:
(1) by an organization exempt from Federal Income Tax under section 501 (c) (3) of the Internal Revenue Code of
1986 (or the corresponding provision of any future United States Internal Revenue Law) or
(2) by an organization, contributions to which are deductible under section 170 (2) of the Internal Revenue Code of
1986 (or the corresponding provision of any future United States Internal Revenue Law). [ August 10, 1999 ]
Article III - Membership
Any person interested in furthering the work of the Christian college libraries shall be admitted to membership upon payment of dues to the Secretary- Tr easurer.
Article IV - Standing Committees [ May 25, 1999 ]
Section A
Standing Committees shall be established at the recommendation of the Board of Directors and with the approval of a majority of the membership at any regular meeting. Ballot by mail to establish Standing Committees may be conducted at other times as deemed necessary by the Board of Directors. [November 28, 2001]
Section B
B.1 Standing Committee membership shall be by appointment of the President in consultation with the Board of Directors. The membership of the Restoration Archives/Preservation Committee shall be one (1) representative from each institution and o the rs by appointment of the President in consultation with the Board of Directors. B.2. Members of standing committees shall be current members of CCL. [ May 28, 2004 ]
Section C
Terms of office for Standing Committee members shall be established for the various committees as recommended by the Board of Directors and approved by a majority of the members at any regular meeting. Board of directors may conduct ballot by mail at other times as deemed necessary. [November 28, 2001]
Section D
Standing Committees may be dissolved upon the recommendation of the Board of Directors and the approval of a majority of the members at any regular meeting. Ballot by mail may be conducted at other times as deemed necessary to the Board of Directors. [November 28, 2001]
Article V - Dues and Income
Section A
Dues shall be assessed, the amount to be recommended by the Board of Directors and approved by the membership, and shall be payable at each regular membership meeting. [November 28, 2001]
Section B
Upon the dissolution of the organization, the Board of Directors shall, after paying or making provisions for the payment of all the liabilities of the organization, dispose of all the assets of the organization exclusively for the purposes of the organization in such a manner, or to such organization or organizations organized and operated exclusively for charitable, educational, religious or scientific purposes as shall at the time qualify as an exempt organization or organizations under section 501 (c) (3) of the Internal Revenue Code of 1986 (or the corresponding provision of any future United States Internal Revenue Law), as the Board of Directors shall determine. Any asset not so disposed of shall be disposed of by the Court of Common Pleas of the county in which the principal office of the organization is then located, exclusively for such purposes or to such organization or organizations, as said court shall determine, which are organized and operated exclusively for such purposes. Section C
Apportionment of the assets, upon dissolution, shall be to its successor organization or shall be made in proportion to the number of dues paying members of the organization from each Christian college at the date of dissolution. [ November 18,1998 ]
Section D - Inurement of Income
No part of the net earnings of the organization shall inure to the benefit of, or be distributable to its members, trustees, officers or other private persons except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered. [ August 10, 1999 ]
Article VI - Officers
Section A
A.1 Officers shall consist of a President, Vice-President/President elect, and Secretary- Tr easurer. These officers and the immediate past President (4) shall comprise the Board of Directors. [ May 25, 1999 ][ Nov. 28,2001 ]
A.2 Officers shall be current members of CCL. [ May 28, 2004 ]
Section B
Officers shall be nominated at least two months before each membership meeting by a committee appointed by the President. Additional nominations may be accepted from the floor. Election shall be by majority vote taken during the membership meeting. The office of Secretary-Treasurer shall be appointed by the President and must be a resident of the state of Arkansas . Section C - Terms of office
Terms of office are for two years, beginning immediately after the membership meeting at which the elections is held. Officers may serve two successive terms but may not serve a third term until at least one term of office has intervened. The office of Secretary-Treasurer may be reappointed for an indefinite number of terms at the discretion of the President. [November 28, 2001]
Section D - Vacancies
If the office of President becomes vacant, the Vice-President/President elect shall become President. If other vacancies occur, the President shall fill them by appointment. Appointees shall serve until the next scheduled election.
Article VII - Duties of officers
Section A
The President shall preside at all meetings, appoint committees except for the Editorial Board of Restoration Serials Index, and carry on any other duties connected with the office.
Section B
The Vice-President/President elect shall assist the President in carrying out the duties of the office and shall preside at meetings in the President's absence.
Section C
The Secretary- Tr easurer shall record minutes of the meetings and distribute them to the membership, collect dues and keep financial records, and perform other duties customarily associated with this office.
Section D
The Board of Directors shall meet prior to each membership meeting and conduct such business as may be required. A full report of the meeting shall then be rendered to the membership. [November 28, 2001]
Article VIII - Meetings
Section A
A place for the next meeting shall be set at each regular membership meeting.
Section B
The dates for each meeting shall be set by the host institution. [ May 25, 1999 ]
Section C
The cost of meetings shall be born by the attendees, as assessed by the host institution.
Section D
A majority of the members registered at the membership meeting shall constitute a quorum. [ May 28, 1993 ]
Section E
The library director at the host site will serve as archivist/historian for that year and will forward all archival materials to Abilene Christian University who has agreed to maintain and house all CCL archival files. [November 28, 2001]
Article IX- Restoration Serials Index Editorial Board (RSIEB)- A Standing Committee [June 2, 2006 Entire article was revised]
Section A Membership
The Editorial Board of the Restoration Serials Index (RSI) shall consist of seven (7) voting members, four (4) of whom represent institutions other than Abilene Christian University (ACU).
Section B Election
(1) CCL members select five (5) RSIEB members, on a rotating basis, to serve staggered terms of three years
each.
(2) RSIEB members may serve two (2) consecutive terms but must go off of the RSIEB before serving additional
term(s).
(3) No more than one (1) of these five (5) members should represent ACU.
(4) Two (2) standing members, representing ACU, provide continuity with the origins of the RSI and CCL, and may
serve for an indefinite period.
Section C Meetings
The RSIEB meets annually to discuss and make editorial decisions and conduct the business affairs of the Index. Reports are then made to the CCL membership at each annual meeting.
Section D Officers
The RSIEB Chairman and Secretary shall be chosen by the RSIEB members.
Article X - Amendments
The By-laws may be amended by a two-thirds vote of the members present or by a two-thirds vote of the members by mail.
